Comprehensive Terms and Conditions

T&C VOLUME 1: PLATFORM TERMS OF USE
1. INTRODUCTION AND LEGAL FRAMEWORK
- 1.1 These Platform Terms of Use (the 'Company', 'we', 'us', or 'our') and any individual or entity accessing or using the Platform (the 'User', 'you', or 'your').
- 1.2 By accessing, browsing, registering with, listing on, advertising through, or otherwise using the Platform in any capacity, you confirm that:
- 1.2.1 you have read and understood these Terms;
- 1.2.2 you agree to be legally bound by them; and
- 1.2.3 you have the legal capacity and authority to enter into this agreement.
- 1.3 If you do not agree to these Terms in full, you must immediately cease using the Platform. Continued use constitutes acceptance.
- 1.4 These Terms govern access to and use of the Platform only. They do not govern, regulate, supervise or otherwise form part of any contract entered into between Users.
- 1.5 The Company operates solely as an online advertising directory and digital listing platform facilitating visibility of independent tradespersons and companies.
- 1.6 The Company does not act as:
- 1.6.1 a contractor or subcontractor;
- 1.6.2 an introducer within the meaning of financial services legislation;
- 1.6.3 a broker or intermediary;
- 1.6.4 a project manager;
- 1.6.5 a guarantor of workmanship;
- 1.6.6 an employment business or agency;
- 1.6.7 a fiduciary or agent for any User.
2. DEFINITIONS AND INTERPRETATION
- 2.1 In these Terms, unless the context otherwise requires:
- 2.1.1 'Platform' means the website trading as Mister.build, all associated domains, subdomains, mobile applications, APIs, software, communication tools and digital infrastructure operated by the Company.
- 2.1.2 'Customer' means a User seeking services from a Tradesperson.
- 2.1.3 'Tradesperson' means any sole trader, partnership, limited company or contractor advertising or listing services on the Platform.
- 2.1.4 'Content' means any text, images, video, reviews, documents, quotations, profiles, descriptions or other material uploaded or displayed on the Platform.
- 2.2 Headings are for convenience only and shall not affect interpretation.
- 2.3 References to legislation include any amendment, re-enactment or subordinate legislation.
3. NATURE OF THE PLATFORM AND DISCLAIMERS
- 3.1 The Platform provides digital listing, advertising and promotional placement services only.
- 3.2 The Company does not:
- 3.2.1 vet, certify or independently verify professional qualifications;
- 3.2.2 inspect works carried out by Tradespersons;
- 3.2.3 guarantee regulatory compliance;
- 3.2.4 guarantee insurance validity;
- 3.2.5 conduct financial solvency checks;
- 3.2.6 supervise performance of any contract.
- 3.3 Listings do not constitute endorsement, recommendation, accreditation or warranty of competence.
- 3.4 Users acknowledge that any reliance placed on Platform listings is undertaken entirely at their own risk.
- 3.5 The Company shall not be deemed to owe any duty of care in relation to the selection, engagement or performance of any Tradesperson.
4. USER-TO-USER CONTRACTS
- 4.1 Any agreement for services entered into between a Customer and a Tradesperson is a separate bilateral contract.
- 4.2 The Company is not a party to such agreement and shall not assume any responsibility for:
- 4.2.1 performance; 4.2.2 breach; 4.2.3 termination; 4.2.4 defective workmanship; 4.2.5 delay; 4.2.6 overcharging; 4.2.7 insolvency; 4.2.8 fraud or criminal conduct.
- 4.3 Users irrevocably release and discharge the Company from any claims arising directly or indirectly out of disputes between Users.
5. LIMITATION OF LIABILITY
- 5.1 The Platform is provided on an 'as is' and 'as available' basis without representation or warranty of any kind.
- 5.2 To the fullest extent permitted by law, the Company excludes all implied warranties, including fitness for purpose and satisfactory quality.
- 5.3 The Company shall not be liable for: indirect loss, consequential loss, loss of profit, loss of opportunity, loss of business, or reputational damage.
- 5.4 The total aggregate liability of the Company arising out of or in connection with the Platform shall not exceed £100.
- 5.5 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability which cannot lawfully be excluded.
6. INDEMNITY & 7. GOVERNING LAW AND JURISDICTION
- 6.1 You agree to indemnify and hold harmless the Company, its directors, officers, employees and agents against all claims, proceedings, losses, damages, liabilities and expenses arising from your breach of these Terms, your misuse of the Platform, your violation of applicable law, or your infringement of third-party rights.
- 7.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
- 7.2 The courts of England and Wales shall have exclusive jurisdiction subject to applicable consumer statutory rights.
T&C VOLUME 2: TRADESPERSON MEMBERSHIP AGREEMENT
1. INTRODUCTION AND FORMATION
- 1.1 This Tradesperson Membership Agreement governs the contractual relationship between Our Power Limited trading as Mister Build and any Tradesperson registering for membership on the Platform.
- 1.2 By registering for membership, creating a profile, purchasing promotional services or otherwise advertising on the Platform, you confirm that you are acting in the course of business, have authority to bind the business you represent, and agree to be legally bound by this Agreement.
2. MEMBERSHIP SERVICES & 3. FEES AND PAYMENT TERMS
- 2.1 The Company shall provide digital listing and promotional services as selected by the Tradesperson.
- 2.2 Free Membership includes a standard profile listing, ability to upload images/video/descriptions, and access to basic messaging functionality.
- 2.3 Paid Promotional Services may include Front Page Placement ( £100 per week) and Deal Listing ( £10 per month).
- 3.1 All fees are exclusive of VAT unless stated otherwise.
- 3.3 Recurring subscription services shall renew automatically unless cancelled in accordance with the cancellation procedure (Easy option of opting out).
4. INDEPENDENT CONTRACTOR STATUS & 5. TRADESPERSON WARRANTIES
- 4.1 The Tradesperson operates as an independent contractor at all times.
- 5.1 The Tradesperson warrants that all information provided is accurate, it holds all licenses and qualifications, it maintains appropriate insurance cover, and it complies with all applicable legislation including the Consumer Rights Act 2015.
6. INSURANCE, 7. CONTENT, 8. LIABILITY, 9. TERMINATION & 10. GOVERNING LAW
- 6.1 The Tradesperson shall maintain at all times Public Liability Insurance, Employer s Liability Insurance (where required), and Professional Indemnity Insurance.
- 7.1 The Tradesperson grants the Company a non-exclusive, worldwide, royalty-free licence to use uploaded content for promotional purposes.
- 8.2 The Tradesperson indemnifies the Company against all claims arising from defective workmanship, regulatory breaches, misrepresentation, or third-party injury claims.
- 9.1 The Company may terminate this Agreement immediately where the Tradesperson commits fraud, materially breaches the agreement, fails payment, or engages in conduct likely to damage reputation.
T&C VOLUME 3: UK GDPR PRIVACY NOTICE & DATA PROCESSING STRUCTURE
1.1 This Privacy Notice explains how Our Power Limited collects, uses, stores and protects personal data in accordance with the UK General Data Protection Regulation ('UK GDPR') and the Data Protection Act 2018. We process Identity Data, Contact Data, Account Data, Transaction Data, Technical Data, Usage Data, and Marketing Preferences based on Contract, Legal Obligation, Legitimate Interests, and Consent.
Users have the Right of access, rectification, erasure, restrict processing, data portability, and the right to object. The Platform uses cookies and similar technologies for functionality, analytics, and security.
T&C VOLUME 4: DEACTIVATION, ENFORCEMENT, INVESTIGATIONS & APPEALS FRAMEWORK
1.1 This Framework forms part of the contractual arrangements between Our Power Limited and all Users. The Company may initiate an investigation where it reasonably suspects fraud, criminal conduct, misrepresentation, false reviews, serious complaints, regulatory breaches, non-payment, or abusive communications. The Company may impose immediate interim suspension where it reasonably believes there is a risk of financial harm, physical harm, or reputational risk.
T&C VOLUME 5: STANDARD FORM PRIVATE WORKS BUILDING CONTRACT FOR LUXURY DIVISION
- 1.1 This Contract is made between The Employer (the 'Client') and Square Electric Datacomms Limited (the 'Contractor').
- 1.2 The Contractor is a separate legal entity from Our Power Limited trading as Mister.Build Platform operator.
- 2.1 The Contract comprises: These Conditions, The Contract Particulars, The Scope of Works, Drawings and Specifications, The Programme, and The Payment Schedule.
- 4.1 The Employer shall pay the Contractor in accordance with the Payment Schedule.
- 5.1 Retention shall be deducted at the percentage stated in the Contract Particulars.
- 9.1 The Defects Liability Period shall be 6 or 12 months as stated in the Particulars.
- 10.1 The Contractor shall maintain Public Liability Insurance, Employer s Liability Insurance, and Contractors All Risk Insurance.
- 14.1 Any dispute shall be referred to adjudication under the Housing Grants, Construction and Regeneration Act 1996.
T&C VOLUME 6: SCHEDULES & ANNEXES PACK
- SCHEDULE 1 INSURANCE REQUIREMENTS: Public Liability: £5,000,000. Employer s Liability: £10,000,000. Professional Indemnity: £2,000,000 per claim.
- SCHEDULE 2 CONTRACT PARTICULARS TEMPLATE: (Standard form inclusion for project address, scope, sums, and dates).
- SCHEDULE 3 VARIATION ORDER FORM: (Standard form for cost adjustments).
- SCHEDULE 4 & 5 PAYMENT AND PAY LESS NOTICES: (HGCRA Compliant forms).
- SCHEDULE 6 ANTI-BRIBERY & ANTI-MONEY LAUNDERING: Parties shall comply with the Bribery Act 2010.
- SCHEDULE 7 CONFIDENTIALITY: Each Party shall keep confidential all commercial and technical information received.
- SCHEDULE 8 VAT AGENCY STRUCTURE: The Platform operates as a disclosed agent for VAT purposes only where applicable.
- SCHEDULE 9 DATA PROCESSING AGREEMENT: Processing governed by written instructions of the Controller.
- SCHEDULE 10 NON-RELIANCE & SEVERABILITY: No reliance is placed on statements not expressly set out in the Contract.
